GLS Law Company Services: Establishing a Business in Poland

When choosing a country for business registration, many entrepreneurs opt for Poland. In many cases, this choice is justified as Poland’s economy and stability allow for comfortable operations while gaining access to the European market. Registering a company in Poland is straightforward, as GLS experts assist with the company’s opening and turnkey servicing process.

Why is it advantageous to start a company in Poland?

Several factors highlight the attractiveness of Poland’s jurisdiction:

  • Geographical proximity allows for flexible business operations, both within Ukraine and in EU countries;
  • Poland has access to the sea and serves as a major logistical hub, including hosting Amazon warehouses;
  • The Polish tax system offers several tax incentives, enabling legal minimization of corporate income tax expenses;
  • Polish banks are well-oriented towards Ukrainian business, offering Ukrainian-speaking staff and application interfaces for Ukrainian clients;
  • Company registration in Poland grants access to the European reverse charge system – VAT reimbursement;
  • Establishing a company in Poland offers the opportunity to hire highly qualified staff at a relatively low cost by European standards.

Company Registration in Poland – Which Form is Most Popular?

Among all the company forms provided by Polish corporate law, the limited liability company (Sp. z o.o.) is the most popular. Polish LLCs have several features, namely:

  • Like in many jurisdictions, Sp. z o.o. founders are liable for the company’s debts only up to their contributions to the share capital;
  • The minimum share capital is 5,000 PLN, which can be contributed in cash or in kind;
  • Both legal entities and individuals from any country can be founders of an LLC;
  • To establish a company in Poland, a director or a supervisory board (depending on the company size) is required to manage and make decisions on behalf of the company;
  • Polish LLCs must maintain accounting records and submit VAT, corporate income tax, and other applicable tax reports;
  • The Sp. z o.o. form allows for flexible company management, as decisions are made collectively or delegated to the director.

Taxes and Company Registration in Poland

Among all EU countries, Poland is very liberal regarding taxation, making this jurisdiction highly attractive for entrepreneurs in various fields. The tax rates in Poland are as follows:

  • The standard corporate income tax rate is 19%, but a reduced rate of 9% is available for small and medium-sized companies with turnovers not exceeding 2 million euros in the reporting period;
  • Generally, companies providing goods or services as their main activity are taxed at the standard rate of 23%. However, Polish legislation offers reduced rates and VAT exemptions;
  • Companies employing staff must pay social insurance contributions, which depend on salary levels;
  • Passive income of a Polish company is taxed according to double taxation treaties. For instance, dividends received from another company may be taxed at a 19% rate in Poland.

A company in Poland can be registered in two ways – in person or via power of attorney. Both options have their advantages and depend on the specific situation and request. Remote company registration in Poland may take a bit more time, whereas personal presence can expedite the process.
